YMCA Special Meeting AT 8:00 AM HELD AT 225 WASHINGTON AVE, BAY CITY, MICHIGAN

Pursuant to action taken by the Directors of the Dow Bay Area Family YMCA, a meeting of the members of the Dow Bay Area Family YMCA will be held on the 1st day of June, 2024 at 8:00 o’clock in the morning at the Dow Bay Area Family YMCA.

The purpose of the meeting is to consider acting upon a recommendation of the Board of Directors to amend the Articles of Incorporation to convert the organization from being organized on a non-stock membership basis, to being organized on a non-stock directorship basis. Members of the Board of Directors and the Executive Director will be present to answer questions from the membership.

This change would not affect Y operations in any way or the services provided to members.

The Y became a non-stock membership-based entity in 1988.  Membership at that time was a lot less than it is today. The directors recommend conversion to a non-stock directorship basis for ease of administration and to reflect the fact that the Y has not strictly adhered to acting as a membership-based entity. For example, annual meetings of members have not taken place since the mid-1990s at least. 

The sheer number of members now could create logistical as well as added expense issues if the Y were to host annual meetings for such a large membership base.

On June 14, 1915, the Articles of Association of the Young Men’s Christian Association of Bay City were filed with the State of Michigan by the original incorporators and board of directors for what we now know as the Dow Bay Area Family Y.

On June 17, 1988, restated Articles of Incorporation were filed on behalf of what was then known as the Bay Area Family Y. The Restated Articles of Incorporation made it clear that the “Y” would be organized on what is referred to as a membership basis.

Not-for-profit corporations in Michigan are organized on what are referred to as either a membership basis or a directorship basis. Membership based not-for-profit corporations are considered to be ultimately governed by action taken by their membership. This would include having an annual meeting of the membership to decide among other things, the election of directors who then oversee operations of the organization in between annual meetings.

Directorship based not-for-profit corporations are managed by a board of directors. The directors put into place methods for replacement of directors as turns expire or vacancies occur.

For reasons which are not particularly clear, at some point in the 1990s, annual meetings of the membership stopped taking place. With changes in leadership and also in conjunction with the capital drive and eventual construction of the present facility, the day to day management of the Dow Bay Area Family Y in essence became that which is attributable to a not-for-profit corporation being organized on a directorship basis.

The current board of directors undertook a review of its bylaws this past winter. As part of that review it became known that the 1988 Restated Articles of Incorporation had not been changed and that, in essence, the “Y” had acted as if it were a directorship based organization as opposed to one which was membership based.

When the “Y” was last known to have conducted membership meetings, total membership those who are 18 years of age or older was fewer than 1,000 members. Currently, the number of members for the “Y” who are 18 years or older is in excess of 6,700 members.

Financial AsSistance Programs

Individuals will not be turned away from participating in programs, activities, and/or membership due to their inability to pay. The Y maintains a generous financial assistance program for youth, adults, and families who demonstrate financial need. Funding for this program is provided by fundraising events at the Dow Bay Area Family YMCA and community-wide donors.
